1. The MedicalPRO Platform — One Integrated System
MedicalPRO Group Pte Ltd operates a single, integrated healthcare technology platform consisting of multiple connected components, including the Clinic Management Platform, MyHealth (the Patient Portal), the Association Hub, the Vendor Platform, and the MedicalPRO Network.
These components are not separate companies, products, or services. They are modules of one Platform operated by one entity, MedicalPRO Group Pte Ltd, sharing one underlying data and security architecture. This Agreement, together with the corresponding agreements for each other module, forms part of a single, consistent legal framework governing the Platform as a whole.
2. Scope of the Association Hub
The Association Hub allows a registered Association to:
- Upload and manage a membership list, including individual and institutional members
- Track membership status and renewal cycles, including custom renewal durations set by the Association
- Send communications, renewal reminders, and automated notices to members
- Issue verified digital badges to members, displayed on their MedicalPRO clinic profile and public directory listing
- Publish articles, announcements, events, and updates, either publicly on the MedicalPRO Network or restricted to the Association's own members
- Access analytics relating to the Association's own membership and engagement
MedicalPRO provides technology infrastructure and software services only. MedicalPRO does not independently verify the professional credentials, licensure, or membership status of any individual member. The Association is solely responsible for the accuracy of the membership and credential data it uploads, as set out in Section 8.
3. Eligibility and Authority to Represent Members
The Association Hub may only be used by a legally constituted professional healthcare association, society, or similar organized body. By registering, the Association represents and warrants that:
- It is a validly constituted organization with legal authority to operate as a professional association or society
- The individual registering the account has authority to bind the Association to this Agreement
- It has the appropriate legal basis — whether through its constitution, membership terms, bylaws, or individual member consent — to collect, hold, and upload the personal data of its members to the Association Hub for the purposes described in this Agreement
- It will notify its members, in a manner consistent with its own governing documents and applicable law, that their membership data will be processed on the MedicalPRO Platform for the purposes described in this Agreement
Important — The Association's warranty of authority in this Section is a foundational term of this Agreement. MedicalPRO relies on this representation in accepting member data uploaded by the Association, and does not independently verify that the Association has obtained appropriate consent or legal basis from each individual member before upload.
4. Account Registration and Security
The Association must provide accurate registration information, maintain the confidentiality of account credentials, and restrict system access to authorized administrators. The Association is fully responsible for all activity conducted through its account, including the actions of its staff and administrators, and must notify MedicalPRO immediately if unauthorized access is suspected.
5. Onboarding
Association accounts are not self-registered. An Association account is created following a service agreement between the Association and MedicalPRO, after which MedicalPRO issues a registration link to the Association's designated administrator. Upon completing setup, members uploaded by the Association may receive an invitation to a free MedicalPRO Clinic Platform trial, consistent with Section 9.
6. Subscription, Fees, and Payment
Where applicable, Associations agree to pay subscription or service fees associated with Association Hub usage, as agreed in the applicable service agreement. Failure to pay may result in suspension of access, restriction of platform services, or account termination.
No Refund Policy — All fees paid to MedicalPRO are non-refundable, consistent with the payment terms applicable across the MedicalPRO Platform.
7. Cancellation
An Association may cancel its subscription by providing 30 days written notice to MedicalPRO, submitted by email to info@medicalprosoftware.com or via the MedicalPRO Support Portal. Upon cancellation:
- The Association retains access until the end of the current paid term
- The Association may request an export of its membership data within 30 days of the term end date
- All Association-uploaded data will be permanently deleted 30 days after the term end date, except where member data is independently retained under Section 9
8. Accuracy of Membership and Credential Data
The Association is solely responsible for the accuracy, currency, and legitimacy of all membership data it uploads, including a member's name, professional credentials, license or registration numbers, specialty, and membership status. Where the Association issues a verified badge to a member, this badge reflects only that the Association attests to that member's status according to the Association's own records. MedicalPRO displays this badge based on data supplied by the Association and does not independently verify the underlying credential.
9. Member Accounts and Data Following Upload
When the Association uploads a member's details, that member may receive an invitation to a free MedicalPRO Clinic Platform trial. If the member accepts and creates their own MedicalPRO account, that member becomes an independent user of the Clinic Platform and is separately bound by the Clinic Platform Terms of Service. From that point, the member's own clinical and account data is governed by that Agreement, not by this one.
If a member does not accept the invitation, their listed membership data (name, specialty, membership status, and Association affiliation) may still appear on the Association's member directory and, where the Association has enabled it, on the Association's public-facing membership listing, until the member objects as described in Section 10, or the Association removes them.
10. Member Objection and Correction
An individual member who believes their data has been uploaded to the Association Hub without appropriate basis, or who wishes to correct or remove their listed information, may contact MedicalPRO at privacy@medicalprosoftware.com. MedicalPRO will refer the request to the Association in the first instance, as the Association determines the membership data it uploads, but may suspend display of the disputed data pending resolution where the objection raises a credible concern.
11. Content Publishing
The Association may publish articles, announcements, events, and updates through the Association Hub. Each item of content is published under one of two visibility settings, selected by the Association at the time of publishing:
- Public — visible to any visitor of the MedicalPRO Network, and indexed for public search
- Members Only — visible only to individuals verified as members of the publishing Association, with non-members shown the title and a notice that the content is restricted to members
The Association is solely responsible for the accuracy of published content and for selecting the appropriate visibility setting for each item. MedicalPRO is not responsible for the content of any article, announcement, event listing, or update published by an Association.
12. Acceptable Use
The Association shall not use the Platform for unlawful purposes, upload malicious software or code, attempt to reverse engineer the Platform, upload member data without appropriate authority, publish false or misleading content, or attempt to interfere with platform security. MedicalPRO may suspend or restrict accounts that violate these rules.
13. Intellectual Property
All rights, title, and interest in the Association Hub and the wider MedicalPRO Platform remain the exclusive property of MedicalPRO Group Pte Ltd. The Association receives a limited, non-transferable license to use the Association Hub solely for its own membership management and communication purposes. No ownership rights in the Platform are transferred.
14. Member Data Ownership
Personal data relating to an individual member remains the property of that member. The Association's role in uploading and managing this data on the Association Hub does not transfer ownership of that data to the Association or to MedicalPRO. This principle is consistent with the data ownership position applied to patients under the MyHealth Agreement and to clinics under the Clinic Platform Agreement.
15. Platform Availability
MedicalPRO will use commercially reasonable efforts to maintain the availability of the Association Hub. The Platform is provided "as available" and "as is." MedicalPRO does not guarantee uninterrupted service and is not liable for temporary downtime due to maintenance, upgrades, security events, infrastructure issues, or force majeure events.
16. Suspension and Termination
MedicalPRO may suspend or terminate an Association's access if:
- These Terms are violated
- Payment obligations are not met
- Misuse of the Platform occurs
- Security risks arise
- A credible and unresolved member objection under Section 10 concerns the Association's authority to upload member data generally
- Legal compliance requires suspension
17. Limitation of Liability
To the fullest extent permitted by law, MedicalPRO's total liability arising from or related to the Association Hub shall not exceed the total service fees paid by the Association during the twelve (12) months preceding the claim. MedicalPRO shall not be liable for indirect damages, disputes between the Association and its members, or losses arising from inaccurate membership, credential, or badge data supplied by the Association. This limitation does not apply to liability arising from willful misconduct, fraud, or gross negligence where prohibited by law.
18. Indemnification
The Association agrees to indemnify and hold MedicalPRO harmless from claims arising from:
- Unlawful use of the Platform
- Upload of member data without appropriate authority or consent
- Inaccurate representation of a member's credentials, license status, or membership standing
- Disputes between the Association and its members concerning the Association's use of the Platform
- False or misleading published content
19. Governing Law
This Agreement shall be governed by the laws of Singapore, consistent with the governing law provisions applicable across the MedicalPRO Platform. Processing of the personal data of members located in the Philippines shall comply with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173). Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
20. Changes to This Agreement
MedicalPRO reserves the right to update this Agreement with reasonable notice to registered Associations. Continued use of the Association Hub after notification constitutes acceptance of the updated terms.
